Contracts with Dutch parties mostly go wrong because a contract drafted for another legal system is used unchanged in the Netherlands. Dutch contract law is codified in the Dutch Civil Code (Burgerlijk Wetboek, BW), fills gaps with default rules, and lets a court set aside a term whose application would be unacceptable under Article 6:248(2) BW. Below are the eight issues that cause most disputes.

Dutch courts ask what the parties could reasonably understand the provisions to mean and expect from each other in the circumstances. This is the Haviltex standard of the Supreme Court (Hoge Raad); the wording is important evidence, not the whole story.

In a detailed contract negotiated between professional parties with lawyers, the wording carries most weight. In a short contract between unequal parties, the circumstances matter more. The more professionally the contract was made, the more it is read as written.

Article 6:248(1) BW adds to the contract what follows from reasonableness and fairness. Article 6:248(2) BW lets a court disapply a term if relying on it would be unacceptable by those standards. The threshold is “unacceptable”, not “unreasonable”, and the party invoking it carries a heavy burden.

For drafting: write down what you actually agreed, including the commercial purpose in recitals, and do not rely on unwritten understandings. A clause built on a foreign concept will be read through the BW. Our article on ഡച്ച് കരാർ നിയമം നാവിഗേറ്റ് ചെയ്യുന്നു covers the basics.

A choice of law and a choice of forum are separate clauses, and you need both. Within the EU, the Rome I Regulation determines the applicable law and the Brussels I bis Regulation determines which court has jurisdiction.

Without a choice, Rome I points for a sale of goods to the law of the seller’s habitual residence and for services to the law of the service provider. Brussels I bis upholds a choice-of-court agreement and otherwise points to the defendant’s domicile or the place of performance.

Did you exclude the Vienna Sales Convention?

The UN Convention on Contracts for the International Sale of Goods (CISG) applies automatically to cross-border sales of goods between businesses in contracting states, including the Netherlands. Choosing Dutch law does not exclude it, because the CISG is part of Dutch law.

If you want the BW’s own sales rules, state expressly that the CISG is excluded. Whether to do so is a commercial choice. Under the BW, a buyer who does not complain within a reasonable time after discovering a defect loses its rights (Article 6:89 BW), with special rules for consumer sales.

Which court will hear the case?

Name a specific court, not just “the Dutch courts”. The District Courts of Amsterdam, Rotterdam and Oost-Brabant are different forums.

Amsterdam District Court, hears international commercial disputes in English if both parties expressly agree in writing; its court fees are higher. Arbitration, for example under the Netherlands Arbitration Institute (NAI), suits cases needing confidentiality or enforcement outside the EU under the New York Convention. How do general terms and conditions work in the Netherlands?

Dutch general terms (algemene voorwaarden) must be provided to the other party before or at the conclusion of the contract. Otherwise individual clauses can be annulled under Articles 6:233(b) and 6:234 BW.

A reference to a website is only enough in defined cases, mainly for contracts concluded electronically. The clause annulled is usually the one the user needs most.

The battle of forms is resolved by a “first shot” rule. Under Article 6:225(3) BW, if offer and acceptance refer to different general terms, the second reference has no effect unless the first party’s terms are expressly rejected. A standard rejection line in your own terms is generally not enough. See our article on the രൂപങ്ങളുടെ യുദ്ധം.

The black and grey lists of Articles 6:236 and 6:237 BW protect consumers. Under Article 6:235 BW a company that publishes its annual accounts, or a party with 50 or more employees, cannot invoke the annulment grounds of Articles 6:233 and 6:234 BW at all. Which payment terms and interest apply?

If no payment date is agreed in a commercial contract, statutory commercial interest runs automatically from 30 days after receipt of the invoice (Article 6:119a(2) BW). No reminder is needed.

Parties may agree a term of up to 60 days, or longer only if expressly agreed and not grossly unfair to the creditor (Article 6:119a(5) BW). A large company paying an SME supplier may not agree more than 30 days; a longer term is void (Article 6:119a(6) BW). The statutory commercial interest rate is adjusted every six months, so refer to “the statutory commercial interest” rather than a fixed figure.

Reasonable extrajudicial collection costs are recoverable under Article 6:96(2)(c) BW; in a commercial contract at least €40 is due without a reminder once the payment date has passed (Article 6:96(4) BW). Against consumers the statutory scale is mandatory and a reminder giving 14 days to pay is required first. State the currency, whether prices exclude VAT and who pays bank charges. Agree retention of title (Article 3:92 BW) in advance.

Consumer law is mandatory. Under the Rome I Regulation a consumer keeps the protection of the mandatory rules of their country of habitual residence if the trader directs its activities there, even if another law is chosen.

For distance and off-premises contracts, Article 6:230o(1) BW gives the consumer 14 days to withdraw without reasons. If the trader failed to give the required information on this right, the period is extended until the information is given, by at most twelve months (Article 6:230o(2) BW). Under Article 7:17 BW goods must conform to the contract and to what the buyer may reasonably expect.

Some business relationships also have mandatory protection. Under the franchise rules in Book 7 BW the franchisor must give the prospective franchisee the information at least four weeks before signing (Article 7:914 BW). A commercial agent can claim a goodwill indemnity (klantenvergoeding) at the end of the agency under Article 7:442 BW. Distributors have no such statutory protection. Which liability clauses hold up?

Limitations of liability are allowed, but subject to the reasonableness test of Article 6:248(2) BW. Under Supreme Court case law, relying on an exclusion is normally unacceptable if the damage results from intent or conscious recklessness (opzet of bewuste roekeloosheid) of the debtor or its management.

Ordinary or serious negligence does not automatically defeat a clause; the court weighs the nature and gravity of the breach, the parties’ positions, the damage, insurance and whether the clause was negotiated. A total exclusion of all liability invites the court to set it aside entirely, while a calibrated cap usually survives.

Set a cap with a defensible link to the contract value, define “indirect damage” because Dutch law has no fixed catalogue of it, and carve out intent and conscious recklessness explicitly. An indemnity is an ordinary payment obligation interpreted under Haviltex; contributory fault under Article 6:101 BW applies unless clearly excluded.

How do you obtain the intellectual property?

Paying for work does not make you the owner. Under Article 2(3) of the Copyright Act (Auteurswet) a transfer of copyright requires a written agreement.

A clause stating that “the client owns all IP” may be read as an obligation to transfer, not a transfer. Under Article 7 Auteurswet the employer is the maker of works made by an employee in the course of employment, but this does not help with external contractors. The maker’s moral rights under Article 25 Auteurswet cannot be transferred.

Use a clause with three parts: a present assignment of all rights in the deliverables, an obligation to sign any further deed, and a waiver of moral rights as far as Dutch law allows. Also arrange a licence on the contractor’s background IP that survives termination, plus a non-infringement warranty and indemnity.

How do you end a Dutch contract?

Dutch law distinguishes termination for the future (opzegging) from dissolution for breach (ontbinding). The difference decides what you can claim.

A fixed-term contract can generally only be terminated early if the contract allows it. A continuing contract of indefinite duration can in principle be terminated, but under Supreme Court case law reasonableness and fairness may require a weighty reason, a reasonable notice period or compensation, depending on the investments made and dependence.

Under Article 6:265 BW any failure in performance gives the right to dissolve, unless it is too minor to justify that. If performance is still possible, the debtor must first be in default, which under Article 6:82 BW requires a written notice giving a reasonable period to perform. Dissolution has no retroactive effect (Article 6:269 BW), but it creates obligations to undo performances already received. See our guide on

Labelling someone a contractor does not make them one: if work, pay and authority are present, Dutch courts treat it as an employment contract. Enforcement against false self-employment resumed on 1 January 2025.

Who may sign, and is an electronic signature valid?

The trade register of the Chamber of Commerce (KVK) shows who may represent a Dutch company and whether authority is joint. An extract dated close to signing is cheap and settles the question.

If a signatory lacked authority, the company can ratify the act under Article 3:69 BW. Under Article 3:15a BW an advanced or other electronic signature has the same effect as a handwritten one if the method is sufficiently reliable for the purpose. A transfer of shares in a BV or of real property requires a notarial deed. On tax and VAT, allocate responsibility in the contract but have the position checked by a tax adviser; we do not give tax structuring advice.

  • Did you provide your general terms before or at signing, and did you expressly reject the buyer’s terms (Article 6:225(3) BW)?
  • Is retention of title agreed, and drafted for goods that will be processed or resold?
  • Does your liability cap carve out intent and conscious recklessness?
  • Have you decided whether to exclude the CISG?
  • Is the payment term within the limits of Article 6:119a BW?

  • Does the contract contain a present assignment of IP and a licence on background rights?
  • Do you complain about defects within a reasonable time (Article 6:89 BW)?
  • Does the termination clause separate convenience from cause and set notice periods?
  • Is the signatory authorised according to the KVK trade register?
  • Does the choice-of-court clause name a specific court or arbitral institution?
  • Is the counterparty a commercial agent or franchisee with mandatory protection?

No. The CISG is part of Dutch law and applies automatically to cross-border sales of goods between businesses in contracting states. If you want the sales rules of the Dutch Civil Code instead, exclude the CISG expressly in the contract.

Is a reference to my general terms on my website enough?

Usually not. Under Articles 6:233(b) and 6:234 BW you must give the other party a reasonable opportunity to read the terms, in principle by providing them before or at signing. A website reference is only sufficient in defined cases, mainly for contracts concluded electronically.

Can I dissolve a contract immediately if the other party breaches it?

Only if performance is permanently impossible or the debtor is already in default. Otherwise you must first send a written notice of default giving a reasonable period to perform (Article 6:82 BW). Dissolution then follows under Article 6:265 BW.
